Special Purpose Vehicle (SPV)

A Special Purpose Vehicle, usually shortened to SPV, is a separate legal entity created for a specific purpose. In tokenization, an SPV may be established to own an underlying asset or hold certain rights connected to it. Investors then receive tokens or securities linked to interests in that structure rather than having the asset registered directly in their own names.

Why it matters to you

The SPV can form the legal bridge between an onchain token and an offchain asset. Understanding the SPV helps you determine who owns the underlying asset, where investor rights sit and what may happen if the issuer or another company involved encounters financial problems.
